Governing Jurisdiction: England and Wales

Entity: SEAMAE (Registered in the United Kingdom)

This Master Services Agreement (“Agreement”) is a legally binding contract between you (“User,” “you,” or “your”) and SEAMAE (“SEAMAE,” “we,” “us,” or “our”). This Agreement governs your access to https://seatrian.shop (the “Site”) and the purchase or sale of digital assets, software licenses, and related services (the “Services”).

BY ACCESSING THE SITE OR UTILIZING OUR SERVICES, YOU AFFIRM THAT YOU ARE AT LEAST 18 YEARS OF AGE AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DISCONTINUE USE IMMEDIATELY.


1. The SEAMAE Marketplace Model

SEAMAE provides a global platform for the trade of digital assets. We operate in two capacities:

  • Direct Sales: Items sold directly by SEAMAE.

  • Third-Party Marketplace: A venue where independent “Vendors” list software and digital goods. In these instances, SEAMAE is an intermediary. The contract for sale is formed directly between the Buyer and the Vendor. SEAMAE is not a party to those contracts and assumes no responsibility for the product’s performance or legality.


2. Account Registration & Security

  • Authentication: We utilize Google and Facebook (Meta) Auth for streamlined, secure access. You are responsible for maintaining the security of your social media accounts used for login.

  • Account Integrity: You must provide accurate information. SEAMAE reserves the right to suspend accounts that provide false data or engage in “sybil” behavior (creating multiple accounts to manipulate the marketplace).

  • KYC Requirements: * Buyers: Generally do not require KYC for direct crypto-to-crypto transactions.

    • Vendors: Mandatory KYC/KYB is required before listing or withdrawing funds.


3. Software Licensing & Intellectual Property

  • Grant of License: Unless otherwise stated, all software and digital assets purchased on SEAMAE are licensed, not sold. You are granted a non-exclusive, non-transferable, revocable license for personal or internal business use.

  • Restrictions: You may not reverse-engineer, decompile, or redistribute software purchased on the platform unless the specific product license (e.g., Open Source, GPL) explicitly permits such actions.

  • SEAMAE IP: All platform branding, UI/UX design, and proprietary code are the sole property of SEAMAE.


4. Payments, Web3, and KYC Disclaimer

SEAMAE integrates modern payment infrastructures to facilitate global commerce.

  • Direct Crypto (Web3): We support non-KYC direct crypto payments via NOWPayments and Web3 wallets. You assume all risks associated with blockchain transactions (e.g., gas fees, irreversible transfers).

  • Fiat-to-Crypto Onramps: For card/bank payments, we utilize third-party regulated providers (e.g., MoonPay, Transak, Stripe Crypto).

    • Legal Disclaimer: KYC for these transactions is performed exclusively by the provider. SEAMAE does not store, see, or process your sensitive identity documents.

  • Taxes: You are responsible for all applicable taxes (VAT, Sales Tax, etc.) arising from your jurisdiction.


5. Vendor Obligations

All Sellers must adhere to the Vendor Agreement. Key requirements include:

  • Ownership: You must own the IP or have the explicit right to resell the assets listed.

  • AML Compliance: You agree to cooperate with SEAMAE in anti-money laundering investigations and acknowledge that payouts may be delayed for compliance checks.


6. Digital Delivery & Refund Policy

  • Instant Fulfillment: Digital products are delivered via email or dashboard immediately upon payment confirmation.

  • Finality of Sale: Due to the nature of digital assets, all sales are final. Exceptions are made only if the product is proven “Defective” (e.g., a broken license key or corrupted file) and reported within 48 hours. Please refer to our Refund Policy for details.


7. Prohibited Conduct

Users are strictly prohibited from:

  • Using the platform for Money Laundering or Terrorist Financing.

  • Listing or purchasing Malware, Ransomware, or Stolen Credentials.

  • Attempting to circumvent SEAMAE’s commission by conducting “off-platform” transactions.


8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF ENGLAND AND WALES:

  • SEAMAE provides the platform on an “AS-IS” and “AS-AVAILABLE” basis.

  • Third-Party Content: SEAMAE is not liable for any damages, data loss, or system failures caused by third-party software purchased on the marketplace.

  • Financial Loss: SEAMAE is not liable for fluctuations in cryptocurrency value during or after a transaction.

  • Maximum Liability: In no event shall SEAMAE’s aggregate liability exceed the total amount paid by you to SEAMAE in the three (3) months preceding the claim.


9. Indemnification

You agree to indemnify and hold harmless SEAMAE, its directors, and employees from any claims, damages, or legal fees arising from your breach of this Agreement, your use of the Services, or your violation of any third-party intellectual property rights.


10. Governing Law & Dispute Resolution

  • Governing Law: This Agreement is governed by and construed in accordance with the Laws of England and Wales.

  • Amicable Resolution: Before initiating formal legal action, parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

  • Jurisdiction: Any legal proceedings shall be subject to the exclusive jurisdiction of the Courts of London, England.


11. Amendments

SEAMAE reserves the right to modify these Terms at any time. We will notify users of significant changes via email or a site-wide banner. Continued use of the platform after updates constitutes acceptance of the new Terms.
